Contratos de aquisição, fusão e parceria entre empresas podem ser interpretados pelo Direito Concorrencial como atos de concentração econômica (ACs). O Brasil possui no sistema normativo restrições de natureza antitruste que regulamentam tais operações. A Ordem Econômica da Constituição da República Federativa do Brasil de 1988 (CRFB/88) informa diretrizes à organização dos mercados, com fundamento em valores como a Liberdade de Iniciativa e de Concorrência, a Função Social da Propriedade e o Valor Social do Trabalho, além de dar o comando à criação de Lei Antitruste, capaz de reprimir o abuso do poder econômico. A Lei de Defesa da Concorrência (LDC) ? Lei Federal n. 12.529/2011 ? cumpre essa determinação ao instituir a Política de Defesa da Concorrência. O controle de concentrações econômicas está abarcado aí. O CADE (Conselho Administrativo de Defesa Econômica), figura central do SBDC (Sistema Brasileiro de Defesa da Concorrência), exerce função preventiva, de controle de estruturas de mercado, ao exercer a Autoridade de aprovar, condicionar ou reprovar ACs. Este trabalho desenhou a matriz institucional brasileira referente à Regulação Concorrencial de ACs. E analisou essa matriz a partir do conceito de custos de transação. Matriz institucional e custos de transação são conceitos oriundos da Nova Economia Institucional (NEI), o marco teórico desta pesquisa ? alicerçado na literatura de Coase (1937, 1960), North (1990, 1991) e Williamson (1975, 1979, 1985). A aproximação entre o marco teórico e o objeto de estudo conduziu à percepção do problema que guiou esta pesquisa: como a matriz institucional brasileira ? no recorte referente aos ACs ? manifesta custos de transação? A hipótese foi que a matriz institucional impõe e reduz custos de transação em ACs como resultado das diferentes intersecções regulatórias obtidas pela combinação de restrições formais e informais. O objetivo principal consistiu em analisar a Legislação Concorrencial Brasileira sobre ACs pelas lentes da NEI. Para isso, primeiro elaborou-se o marco teórico; depois, descreveu-se o objeto de estudo, a Legislação Brasileira Concorrencial sobre ACs; para então analisá-lo sob as lentes da NEI. Isso incluiu desenhar a matriz institucional; verificar custos de transação positivos e negativos manifestos pela matriz; e verificar a introdução deste conceito nos padrões decisórios do CADE. Utilizou-se o método dedutivo e o procedimento de pesquisa qualitativa, com base em revisão bibliográfica, legal e documental. As conclusões permitiram compreender o ambiente institucional brasileiro dos ACs. Abstract: Contracts for acquisition, mergers, and partnership between companies may be construed by Competition Law as acts of economic concentration (ACs). Brazil?s legal system contains antitrust restrictions that regulate such transactions. The Economic Order provisions of the 1988 Federal Constitution of the Federative Republic of Brazil (CRFB/88) set guidelines for market organization, grounded in values such as Freedom of Enterprise and Competition, the Social Function of Property, and the Social Value of Labor, and mandate the enactment of an Antitrust Law capable of repressing the abuse of economic power. The Law for the Defense of Competition (LDC) ? Federal Law No. 12,529/2011 ? fulfills this mandate by instituting the Competition Defense Policy, within which the control of economic concentrations is encompassed. CADE (Administrative Council for Economic Defense), the central body of the SBDC (Brazilian System for the Defense of Competition), performs a preventive role in controlling market structures by exercising authority to approve, condition, or block ACs. This study mapped the Brazilian institutional matrix concerning the competition regulation of ACs and analyzed this matrix through the concept of transaction costs. Institutional matrix and transaction costs are concepts originating from New Institutional Economics (NIE), the theoretical framework of this research ? grounded in the literature of Coase (1937, 1960), North (1990, 1991), and Williamson (1975, 1979, 1985). The articulation between the theoretical framework and the object of study led to the research question that guided this work: how does the Brazilian institutional matrix ? in the segment pertaining to ACs ? manifest transaction costs? The hypothesis was that the institutional matrix both imposes and reduces transaction costs in ACs as a result of different regulatory intersections produced by the combination of formal and informal constraints. The main objective was to analyze Brazilian Competition Legislation governing ACs through the lenses of NEI. To that end, the theoretical framework was first developed; then the object of study ? the Brazilian Competition Legislation on ACs ? was described; and, finally, it was analyzed from the perspective of NEI. This included outlining the institutional matrix; identifying positive and negative transaction costs manifested by the matrix; and examining the incorporation of this concept into CADE?s decision-making patterns. A deductive method and a qualitative research procedure were employed, based on bibliographic, legal, and documentary review. The findings enabled a better understanding of the Brazilian institutional environment for ACs. |
