Abstract: A pesquisa pretende responder se a inclusão expressa da mediação na Lei de Recuperações e Falências Brasileira (LRF) incentiva a construção de soluções consensuais, no processo de recuperação judicial, sob a perspectiva Neo-institucionalista da Análise Econômica do Direito (AED). A hipótese inicial sugere que a mera previsão normativa da mediação na recuperação judicial é insuficiente para promover o esperado ambiente de diálogo entre credores e devedor e, portanto, não incentiva a transição da cultura adversarial para a cooperativa. Para verifica-la, a pesquisa adota o método de abordagem dedutivo, aplicado por meio da técnica de análise bibliográfica e legislativa, com reforço argumentativo e bibliográfico de casos em que houve a adoção da medição em processos de recuperação judicial. A investigação teve como objetivo geral verificar se a Seção II-A da LRF fomenta a realização da mediação, o que contribui para a construção de soluções consensuais na recuperação judicial. Parte-se da premissa de que as instituições moldam o comportamento dos agentes econômicos, o que influencia as suas decisões por meio de incentivos institucionais e dos custos de transação. Para tanto, a pesquisa foi segmentada em três eixos de estudo, de acordo com os objetivos específicos. O primeiro objetivo propõe apresentar a AED, com ênfase na vertente Neo-institucionalista, que destaca a relevância das instituições para a eficiência econômica e a influência dos custos de transação sobre as decisões dos agentes econômicos. O segundo objetivo é abordar os aspectos relevantes sobre o conflito, o monopólio de seu tratamento exercido pelo Estado, desenvolvendo, também, a relevância de atribuir a decisão às partes. Ainda, apresentar os principais meios de solução de conflitos adotados pelo Ordenamento Jurídico Brasileiro que busca a modificar a cultura do litígio para a do consenso. O terceiro objetivo, busca examinar a inserção da mediação na Lei de Recuperações e Falência e sua aplicação na recuperação judicial, de modo a investigar se os dispositivos da Seção II-A incentivam a adoção da mediação. Ao final conclui-se que, embora a mediação tenha potencial para facilitar o diálogo entre credores e devedor, o ambiente institucional atual e os elevados custos de transação não proporcionam incentivos suficientes para que os agentes econômicos optem por sua implementação, o que constitui obstáculo à esperada transformação da cultura adversarial para a cultura cooperativa. Assim certificou-se que a previsão legal da mediação, por si só, não foi suficiente para incentivar a modificação do o comportamento dos agentes envolvidos no processo de recuperação judicial.Abstract: This research seeks to answer whether the express inclusion of mediation in the Brazilian Bankruptcy and Reorganization Law (LRF) encourages the construction of consensual solutions in the judicial recovery process, from the neo-institutionalist perspective of the Law and Economics. The initial hypothesis suggests that the mere normative provision of mediation in judicial recovery is insufficient to promote the expected environment of dialogue between creditors and debtors and, therefore, does not encourage the transition from an adversarial culture to a cooperative one. To verify this, the research adopts the deductive approach method, applied through the technique of bibliographic and legislative analysis, with argumentative and bibliographic reinforcement of cases in which mediation was adopted in judicial recovery processes. The investigation had as its general objective to verify whether Section II-A of the LRF encourages the performance of mediation, which contributes to the construction of consensual solutions in judicial recovery. It is based on the premise that institutions shape the behavior of economic agents, which influences their decisions through institutional incentives and transaction costs. To this end, the research was divided into three axes of study, according to the specific objectives. The first objective proposes to present the Law and Economics, with emphasis on the Neo-institutionalist approach, which highlights the relevance of institutions for economic efficiency and the influence of transaction costs on the decisions of economic agents. The second objective is to address the relevant aspects of the conflict, the monopoly of its treatment exercised by the State, also developing the relevance of attributing the decision to the parties. It also presents the main means of conflict resolution adopted by the Brazilian Legal System that seeks to change the culture of litigation to one of consensus. The third objective seeks to examine the inclusion of mediation in the Reorganization and Bankruptcy Law and its application in judicial recovery, in order to investigate whether the provisions of Section II-A encourage the adoption of mediation. The results indicate that, although mediation has the potential to facilitate dialogue between creditors and debtors, the current institutional environment and high transaction costs do not provide sufficient incentives for economic agents to choose its implementation, which constitutes an obstacle to the expected transformation from an adversarial culture to a cooperative culture. It was thus confirmed that the legal provision for mediation, in itself, was not sufficient to encourage changes in the behavior of agents involved in the judicial recovery process.
