O presente trabalho analisa a aplicação da imunidade tributária do Imposto sobre a Transmissão de Bens Imóveis (ITBI) nas operações de integralização de capital social com bens imóveis no cenário pós-Tema 796 da repercussão geral do Supremo Tribunal Federal. A pesquisa tem como objetivo verificar se o entendimento adotado pelo Tribunal de Justiça de Santa Catarina acerca da incidência do ITBI nessas operações encontra respaldo na norma constitucional e nos limites interpretativos fixados pela Suprema Corte. Para tanto, utiliza o método dedutivo, mediante pesquisa bibliográfica, legislativa e jurisprudencial, com exame da doutrina especializada, da legislação aplicável e de precedentes dos tribunais superiores, bem como análise de decisões proferidas pelo Tribunal de Justiça de Santa Catarina em casos envolvendo os municípios de Balneário Camboriú, Itapema, Itajaí, Florianópolis e São José. Inicialmente, investiga os fundamentos constitucionais do ITBI, os contornos jurídicos da imunidade tributária e os aspectos societários e fiscais relacionados à integralização de bens imóveis. Em seguida, examina os fundamentos e os limites da tese firmada pelo Supremo Tribunal Federal no Tema 796, além de sua relação com outros precedentes relevantes. A análise demonstra que o Tribunal de Justiça de Santa Catarina tem adotado interpretação que admite a incidência do ITBI sobre a diferença entre o valor atribuído ao imóvel na integralização e o valor de mercado apurado pelo Município, ainda que não haja constituição de reserva de capital. Conclui-se que tal entendimento amplia os efeitos do Tema 796 para situações que não foram objeto de apreciação direta pelo Supremo Tribunal Federal, restringindo o alcance da imunidade constitucional além dos limites definidos pela Corte. Verifica-se, ainda, que essa divergência interpretativa contribui para o aumento da insegurança jurídica, da litigiosidade tributária, e dos custos relacionados ao planejamento patrimonial e societário. This study analyzes the application of the tax immunity related to the Real Estate Transfer Tax (ITBI) in transactions involving the contribution of real estate assets to corporate capital in the context following Theme 796 of the Brazilian Federal Supreme Court's general repercussion system. The research aims to verify whether the interpretation adopted by the Court of Justice of the State of Santa Catarina regarding the incidence of ITBI in such transactions is supported by the constitutional provision and by the interpretative limits established by the Supreme Court. To this end, the study employs the deductive method through bibliographical, legislative, and jurisprudential research, examining specialized legal doctrine, applicable legislation, and precedents from higher courts, as well as decisions rendered by the Court of Justice of Santa Catarina involving the municipalities of Balneário Camboriú, Itapema, Itajaí, Florianópolis, and São José. Initially, the research investigates the constitutional foundations of ITBI, the legal contours of tax immunity, and the corporate and tax aspects related to the contribution of real estate assets to corporate capital. Subsequently, it examines the grounds and limits of the legal thesis established by the Federal Supreme Court in Theme 796, as well as its relationship with other relevant precedents. The analysis demonstrates that the Court of Justice of Santa Catarina has adopted an interpretation that allows the levy of ITBI on the difference between the value attributed to the property for capital contribution purposes and the market value assessed by the municipality, even in the absence of a capital reserve. It is concluded that such interpretation extends the effects of Theme 796 to situations that were not directly examined by the Federal Supreme Court, thereby restricting the scope of constitutional tax immunity beyond the limits defined by the Court. Furthermore, the study finds that this interpretative divergence contributes to increased legal uncertainty, tax litigation, and costs associated with estate and corporate planning. |
