Analise do impacto das melhores praticas de governança corporativa no desempenho empresarial

Abstract

Este trabalho analisou os impactos da' Melhores Práticas de Governança Corporativa no desempenho empresarial. Optou-se por estudar a empresa CELESC, por esta localizar-se próximo ao pesquisador, possibilitando assim acesso facilitado As informações. Também influenciou na escolha, o fato da empresa pertencer ao seleto grupo de 3 empresas com nível2 de Governança Corporativa, estabelecido pelo Novo Mercado da Bovespa. A pesquisa foi conduzida com o intuito de identificar se empresas que adotam tais práticas de gestão obtêm benefícios no seu desempenho. Como o objetivo deste trabalho foi explorar intimamente o caso, utilizou-se a abordagem qualitativa através do estudo de caso. 0 trabalho é composto de três partes, na primeira consta o levantamento de dados, na segunda consta a análise destes dados e na terceira constam o estudo de caso e as considerações sobre o tema. Procurou-se identificar quais os agentes internos e externos que influenciam o nível estratégico da organização, desvendando quais os beneficios que estes agentes obtiveram com a adoção das Melhores Práticas de Governança Corporativa na empresa. Também se buscou analisar as práticas de Governança Corporativa como alternativa A privatização das empresas estatais, tornando-as competitivas, sem, no entanto sair do controle estatal. Quanto aos resultados, observou-se que existem beneficios para a empresa e para o ambiente em que está inserida, como também é uma alternativa viável para modernização da gestão das empresas estatais.

This work analyzed the impacts of the Good Practices of Corporate Governance in the management acting. Was opted to study the company CELESC, for this to be located close to the researcher, making possible access facilitated like this to the information. Also influenced in the choice, the fact of the company to belong to the select group of 3 companies with level 2 of Corporate Governança, established for the New Market of Bovespa. The research was led with the intention of identifying companies that adopt such administration practices they obtain beneficial in your acting. As the objective of this work was to explore the case intimately, the qualitative approach was used through the case study. The work is composed of three parts, in the first it consists the rising of data, on the second, it consists the analysis of these data and in the third it consist the case study and the considerations on the theme. Tried to identify which the internal and external agents that influence the strategic level of the organization, uncover which the benefits that these agents obtained with the adoption of the Good Practices of Corporate Governança in company. Also were looked for to analyze the practices of Corporate Governança as alternative to the privatization of the state companies, turning them competitive, without, however to leave of the state control. With relationship to the results, it was observed that benefits exist for the company and for the atmosphere in that it is inserted, as well as it is a viable alternative for modernization of the administration of the state companies.
