Contrato de master-franchising: consequências de seu rompimento

Abstract

O presente trabalho oferece uma análise detalhada do contrato de master-franchising, tendo por finalidade demonstrar as conseqüências para os sub-franqueados quando do rompimento unilateral do contrato de master-franchising firmado entre franqueador original e master-franqueado. Para tanto, o estudo propõe analisar a origem, a evolução e a definição deste instituto. Além disso, aborda-se os aspectos gerais do contrato tripartite, do qual é exemplo o contrato de master-franchising, bem como os princípios aplicáveis a este instrumento contratual, os quais são imprescindíveis para a solução do problema proposto. Por fim, é analisada a natureza da relação jurídica existente entre as partes componentes deste contrato, avaliando se há e qual a responsabilidade do franqueado original e do masterfranqueado, em face dos subfranqueados, quando da resilição do contrato de masterfranchising.

The present work offers a detailed analysis of the contract of master-franchising, having for purpose to demonstrate the consequences for the sub-franchisees of the unilateral disruption of the contract of master-franchising firmed between the original franchisor and the master-franchisor. In such a way, the study considers to analyze the origin, the evolution and the definition of this institute. Moreover, it is studied the general aspects of the three-party contract, of which the master-franchising is an example, as well as the applicable principles to this contractual instrument, which are essential for the solution of the proposed problem. Finally, the nature of the legal relationship between the parties is analyzed, evaluating the responsibility for the original franchisor, in face of the sub-franchisees, when the disruption of the contract of master-franchising occurs.
